License Agreement
End User License Agreement (EULA)
This Website Template License Agreement ("Agreement") is made and entered into between Northwest Web Pros LLC, ("Creator"), and the purchaser, ("Customer"). This Agreement sets forth the terms and conditions under which the Customer may use the website template created by the Creator.
1. Grant of License:
Subject to the terms and conditions of this Agreement, the Creator hereby grants the Customer a non-exclusive, non-transferable, revocable license to use the website template ("Template") for the purpose of creating and launching a website. The Customer may customize, modify, and integrate the Template as needed to suit their own website's requirements.
2. No Warranty or Guarantee:
The Template is provided "as is" and without any warranty or guarantee of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Creator does not warrant that the Template will be error-free, reliable, or meet the Customer's requirements. The Creator also does not make any claims or guarantees that the software provided will be updated in any way in the future.
3. Limitation of Liability:
The Customer agrees that the Creator shall not be held liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use or inability to use the Template, even if the Creator has been advised of the possibility of such damages. The Customer also agrees that the Creator shall not be held liable for any changes to third party services such as Shopify or Framer that may break the functionality of this template.
4. Indemnification:
The Customer agrees to indemnify, defend, and hold harmless the Creator from and against any claims, liabilities, losses, damages, costs, and expenses, including reasonable legal fees, arising out of or in connection with the use of the Template by the Customer.
5. Intellectual Property:
The Template and all associated intellectual property rights remain the property of the Creator. The Customer may not claim ownership of the Template, resell it, redistribute it, or use it in a way that infringes upon the Creator's intellectual property rights.
6. Termination:
The Creator reserves the right to terminate this license at any time if the Customer violates the terms of this Agreement. Upon termination, the Customer must cease all use of the Template and delete all copies from their systems.
7. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Oregon, without regard to its conflict of law principles.
8. Entire Agreement:
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, negotiations, or understandings, whether oral or written.
By using the Template, the Customer acknowledges that they have read, understood, and agreed to the terms and conditions of this Agreement. If the Customer does not agree to these terms, they should not use the Template.
IN WITNESS WHEREOF, the parties hereto have executed this Website Template License Agreement as of the date first above written.
